From growth objective to acquisition roadmap

The best acquisition programs begin before the first target is contacted.

A compelling company is not automatically the right acquisition. Strategic fit depends on what the buyer is trying to build, which capabilities or markets matter most, how value will be created and what the organization can realistically integrate.

We work with leadership teams to define the role of M&A within the broader growth plan. That may involve entering new geographies, adding services, acquiring talent or technology, consolidating a fragmented market, expanding margins or building a regional or national platform.

Our job is to turn those ambitions into practical acquisition criteria, a prioritized market map and a decision framework. The result is a strategy that helps management distinguish attractive opportunities from distractions and move quickly when the right target appears.

Strategic acquisition services

A practical framework for repeatable M&A

The scope can range from a focused strategy project to continuing support through market outreach, evaluation and execution.

Acquisition thesis

Define how acquisitions will advance corporate strategy, what must be acquired and where value creation is expected.

Criteria development

Translate strategic goals into clear financial, geographic, sector, customer, capability and ownership criteria.

Market mapping

Size and segment the target universe, identify priority subsectors and understand competitive acquisition activity.

Valuation framework

Establish return thresholds, synergy assumptions, valuation guardrails and a consistent approach to comparing opportunities.

Pipeline and governance

Create a repeatable funnel, decision rights, screening process and management or board reporting cadence.

Integration readiness

Assess internal capacity, integration priorities and the operational risks that could undermine the acquisition thesis.

Client and transaction fit

Designed for organizations that want M&A to become a capability—not an event.

Typical clients

Strategic acquirers pursuing geographic, service-line or capability expansion.

Sponsor-backed platforms developing an add-on acquisition program.

Family offices defining a sector thesis or direct-investment strategy.

Founder-led companies considering a first acquisition as a new growth channel.

Common assignments include building a first acquisition roadmap, sharpening an existing strategy, prioritizing several adjacent markets, evaluating whether to build or buy a capability, and creating a structured add-on program.

We are especially useful when the opportunity set is broad, internal views differ, resources are limited or management needs a more objective framework before approaching targets. Our advice is grounded in what can actually be sourced, financed, diligenced and integrated—not only what looks appealing in a presentation.

A disciplined engagement

How we develop an acquisition strategy

Clarify the objective

Define the growth goal, strategic constraints, timing, capital availability and leadership priorities.

Test the thesis

Examine industry structure, fragmentation, competitive activity, market growth and realistic sources of value.

Build the criteria

Establish required and preferred attributes, disqualifiers, valuation parameters and risk tolerances.

Map the market

Develop and segment the target universe, including privately held and off-market companies.

Create the decision system

Design screening, escalation, diligence and approval processes appropriate for the organization.

Activate the roadmap

Move into acquisition search, target outreach and transaction execution when the strategy is ready.

Once the strategy is approved, NEA can help move from readiness to active outreach. A typical retained launch confirms the mandate and exclusions, develops the initial market map during the first week, moves into target approval and outreach as early as the second week, and uses the balance of the first 30 days for follow-up, qualification and recalibration. Actual timing depends on client approvals, market response and target availability.

Retained acquisition advisory

A dedicated, continuing program with systematic market mapping, direct outreach, qualification, pipeline reporting and recurring review meetings. Retained clients generally receive a defined exclusive first-look period for opportunities developed through the assignment before NEA presents them to other buyers. Monthly retainers are credited against the success fee when a qualifying transaction closes, subject to the engagement terms, so the credited retainer generally creates no additional transaction cost. Success-fee rates are also generally lower for retained buy-side searches than for non-retained assignments.

Non-retained acquisition advisory

An opportunity-driven model in which NEA brings forward selected situations that fit the buyer’s criteria. It offers flexibility without a committed search cadence or exclusive first-look period. Because NEA is not receiving an ongoing retainer, success-fee rates are generally higher than under retained buy-side assignments. Contact us to discuss the structure most appropriate for your acquisition objectives.

Frequently asked questions

Strategic acquisition advisory FAQs

How is strategic acquisition advisory different from a buy-side search?

Strategy defines what to acquire, why it should create value and how opportunities will be evaluated. A buy-side search activates that strategy through target identification, outreach and qualification. Clients may engage us for either phase or both.

Can you help a company making its first acquisition?

Yes. First-time acquirers often benefit most from clear criteria, decision rights, valuation guardrails and a realistic understanding of diligence and integration requirements before entering the market.

Do you work with a management team or the board?

We can work with the CEO, corporate development team, business-unit leaders, owners, investment committee or board, depending on how acquisition decisions are governed.

Will the strategy include specific acquisition targets?

It can. Market mapping typically produces an initial target universe, but the emphasis is on prioritization and fit. A full acquisition search adds direct research, outreach and qualification.

How long does a strategy engagement take?

Timing depends on sector breadth, management alignment and the depth of market work required. A focused engagement may take several weeks; a multi-market roadmap may take longer.

What makes an acquisition strategy actionable?

It must connect strategic goals to clear criteria, valuation discipline, ownership of decisions, realistic sourcing and integration capacity. A strategy without those elements tends to produce inconsistent deal decisions.
