The schedule is illustrative: prompt approvals, market response and target availability affect the pace, and no particular number of qualified opportunities can be guaranteed.

Flexible engagement structures
We offer both models. The right structure depends on whether the buyer wants a dedicated origination program or access to selected opportunities as they become available.
A retained mandate dedicates ongoing resources to the buyer’s criteria. It typically includes systematic market mapping, target approval, direct and multi-channel owner outreach, follow-up, qualification, transparent pipeline reporting and a regular review cadence. Retained clients generally receive a defined exclusive first-look period for opportunities developed through the assignment before NEA presents them to other buyers. Monthly retainers are credited against the success fee when a qualifying transaction closes, subject to the engagement terms, so the credited retainer generally creates no additional transaction cost. Success-fee rates are also generally lower than on non-retained buy-side searches.
A non-retained engagement is opportunity-driven. NEA may identify and introduce selected targets that fit the buyer’s stated criteria and coordinate initial discussions, without committing to a fixed search cadence or exclusive first-look period. This structure can suit buyers that want to evaluate appropriate opportunities as they arise. Because NEA is not receiving an ongoing retainer, success-fee rates are generally higher than under retained buy-side assignments.
